1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the websites, self-service surfaces, reservation systems, and rental services offered by IDM Services LLC, doing business as NÜ Car Rentals ("NÜ Car Rentals," "we," "us," or "our").

By making a reservation, signing a rental agreement, accepting a vehicle from one of our affiliate locations, providing your phone number to receive SMS messages from us, or using any of our self-service surfaces, you agree to these Terms. If you do not agree, do not use our services.

Specific rental agreements signed at the counter at the time of vehicle pickup may include additional terms specific to the rental class, location, or jurisdiction. Where the rental agreement and these Terms conflict, the rental agreement controls for that specific rental.

2. Use of Service

2.1 Eligibility

To rent a vehicle from NÜ Car Rentals, you must:

• Be at least the minimum rental age applicable at the pickup location (typically 21, 25 in some jurisdictions).
• Hold a valid driver's license that is unrestricted (other than corrective-lens restrictions) and has been held for at least one year.
• Present a valid credit or debit card in your own name at pickup, sufficient to cover the rental amount and security deposit.
• Pass our standard driver-eligibility checks at pickup (no recent severe traffic convictions, no fraud markers).

2.2 Authorized users

Only the renter named on the rental agreement and any additional drivers listed on the rental agreement are authorized to operate the rented vehicle. Allowing an unauthorized person to drive may void insurance coverage and constitutes a material breach of the rental agreement.

2.3 Internal management surfaces

Certain web surfaces in our reservation and rental management system are intended for use by authorized NÜ Car Rentals personnel only. Access to those surfaces requires a valid account and is governed by separate operator-facing terms. The customer-facing terms in this document apply to all reservation and rental services regardless of which internal system processes them.

3. SMS Terms

By providing your mobile phone number to NÜ Car Rentals — at the time of reservation, at the rental counter, through a self-service surface, or by replying to one of our messages — you consent to receive SMS text messages from NÜ Car Rentals at that number. SMS messages are delivered through our SMS service provider (Twilio Inc.) acting on our behalf.

3.1 Message types

The SMS messages you receive from us include:

• Transactional messages: reservation confirmations, pickup and return reminders, vehicle availability alerts, self-service rental extension links, operational updates (flight delays, location or time changes, recall notices), and account or security notices.
• Promotional messages: offers about discounts, loyalty rewards, and new services. Promotional messages are sent at limited frequency.

3.2 Frequency, rates, and opt-out

Message frequency may vary. A typical customer with a single active reservation may receive between two and six messages per rental cycle. Customers who opt in to promotional messages may receive up to four additional messages per month.

Message and data rates may apply. Standard message and data rates from your mobile carrier apply to every SMS you send to or receive from us. NÜ Car Rentals is not responsible for charges your carrier applies to messages.

You may opt out at any time by replying STOP to any message we send. After receiving STOP, we will send a single confirmation message and stop sending you SMS messages other than legally required notices. You may opt back in at any time by replying START. For assistance, reply HELP or contact us at the email or phone number in Section 15.

Opting out of SMS messages will not affect your ability to make reservations, rent a vehicle, or use any other service offered by NÜ Car Rentals. If you opt out, we will continue to communicate with you through email and other channels for matters connected to your reservation or rental.

3.3 Our SMS commitments

We do not sell, rent, or share your mobile phone number, or the consent you give us to message it, with any third party for that third party's own marketing purposes. Your phone number is shared only with our SMS service provider for the sole purpose of delivering messages from NÜ Car Rentals to you.

Carriers may take additional time to deliver SMS messages and we cannot guarantee delivery. Do not rely on SMS as the sole channel for safety- or time-critical communications.

4. Reservations and Cancellations

4.1 Booking and confirmation

A reservation is a request to rent a vehicle of a specific class for a specific date range at a specific location. Confirmation of a reservation does not guarantee a specific vehicle make, model, or color — only the vehicle class. We reserve the right to substitute an upgraded class at no additional charge if the reserved class is unavailable at pickup.

4.2 Quoted rates

Quoted daily rates apply to the rental period stated on the reservation. Returning a vehicle late may result in additional charges at the location's posted overdue rate, which may exceed the original daily rate. Returning a vehicle early does not entitle you to a refund unless explicitly stated in the rate plan.

4.3 Cancellations and no-shows

Cancellation policies vary by rate plan and are stated at the time of booking. Generally, refundable rates may be cancelled without charge up to 24 hours before the scheduled pickup; non-refundable and pre-paid rates are non-refundable once booked. A reservation that is not picked up within the grace period stated on the confirmation will be marked as a no-show and may incur a fee equal to one day's rental.

4.4 Self-service extensions

For active rentals, we may send you a link via email or SMS allowing you to extend your rental online without contacting the location. Extension availability and rates are subject to vehicle availability at the time you request the extension and are governed by the location's extension policy. An extension request becomes binding when you confirm it through the link.

5. Payment Terms

5.1 Payment at pickup

At pickup, we will authorize a hold on your credit or debit card for the estimated rental amount plus a security deposit. The security deposit is not a charge — it is a temporary hold released after vehicle return, subject to inspection and reconciliation. Hold release timing depends on your card-issuing bank and is outside our control.

5.2 Final billing

At return, the actual rental amount (including any extras, fuel, mileage, toll, citation, or damage charges) is captured against the authorization hold or, if the final amount exceeds the hold, against the same card. You authorize us to charge your card for all amounts owed under the rental agreement.

5.3 Late return charges

Vehicles returned after the scheduled return time stated on the rental agreement will incur additional time-and-mileage charges at the location's posted overdue rate. After a grace period (typically 30 minutes), each additional period (commonly each subsequent hour or each full day, depending on location) accrues additional charges.

5.4 Tolls, citations, and incidental charges

You are responsible for all tolls incurred during the rental and for all traffic, parking, or other citations issued in connection with your operation of the vehicle. We may charge your card for these amounts plus a reasonable administrative fee when notified by the relevant authority or toll administrator.

5.5 Disputed charges

If you believe a charge is incorrect, contact us within 60 days of the return date using the details in Section 15. We will investigate and respond within 30 days.

6. Vehicle Use

6.1 Authorized use

The rented vehicle may be used only for lawful private or business transportation purposes by the renter and any authorized additional drivers named on the rental agreement.

6.2 Geographic restrictions

Vehicles may be operated only within the geographic territory specified on the rental agreement. Operation outside the authorized territory (commonly outside the United States or specific states) may void insurance coverage and constitute a breach of the rental agreement.

6.3 Prohibited uses

The vehicle may NOT be used for any of the following:

• Operation by any person not listed as a driver on the rental agreement.
• Operation while under the influence of alcohol, controlled substances, or any medication that impairs the ability to drive.
• Carrying passengers or property for hire (rideshare, taxi, delivery, etc.) without prior written authorization.
• Towing or pushing any vehicle, trailer, or object.
• Off-road operation, racing, speed contests, or driver-training events.
• Transportation of explosive, corrosive, or otherwise dangerous materials.
• Commission of any crime, or aiding in the commission of any crime.
• Operation in a way that materially damages the vehicle or constitutes gross negligence.

Violation of any prohibited use may void insurance coverage, make you fully responsible for any damage to the vehicle and to third parties, and constitute a material breach of the rental agreement.

6.4 Smoking and pets

Our vehicles are non-smoking. A cleaning fee will be assessed for vehicles returned with evidence of smoking. Pets are permitted only in pet-allowed vehicles or with prior written consent from the location; a cleaning fee applies if pet hair, dander, or odor is present at return.

6.5 Fuel

Vehicles are provided full of fuel and must be returned full. Vehicles returned without a full tank will be assessed a fuel charge at the location's posted refueling rate, which may exceed local pump prices. Pre-paid fuel options offered at pickup are non-refundable.

7. Insurance and Damage

You are responsible for the rented vehicle from the time of pickup until the vehicle is returned and inspected. Damage occurring during the rental period — including damage to the vehicle, damage to third-party persons or property, theft, and loss of use during the repair period — is your financial responsibility unless covered by an insurance product purchased from us, by your personal insurance, or by your credit card's rental coverage.

We offer optional damage waivers and supplemental insurance products at the counter. The terms of those products are disclosed at the time of purchase. Purchase of any optional product is not required to rent a vehicle.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NÜ CAR RENTALS, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, LOSS OF GOODWILL, OR COSTS OF SUBSTITUTE TRANSPORTATION — ARISING OUT OF OR RELATING TO THESE TERMS, OUR SERVICES, OR ANY RENTAL AGREEMENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO ANY PARTICULAR RENTAL SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID UNDER THE RENTAL AGREEMENT FOR THAT RENTAL.

Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless NÜ Car Rentals, its affiliates, and their respective officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your operation of a rented vehicle, including any accident, injury, or property damage.
• Your breach of these Terms or of any rental agreement.
• Your violation of any law or third-party right.
• Tolls, citations, or other charges incurred during your rental.
• Use of the rented vehicle by an unauthorized driver.

10. Intellectual Property

All content on our websites and self-service surfaces — including the NÜ Car Rentals name and logo, text, graphics, and software — is the property of NÜ Car Rentals or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of our content except as expressly permitted in writing.

11. Termination

We may suspend or terminate your access to our self-service surfaces, or decline to fulfill a pending or future reservation, at any time and without prior notice if we reasonably believe you have violated these Terms, a rental agreement, or applicable law, or that suspension is necessary to protect our customers, employees, vehicles, or business.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to conflict-of-law principles. Any rental agreement separately signed at a location may be governed by the laws of the state in which that location operates.

Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or applicable law. When we make material changes, we will revise the Effective date at the top of this page and, when appropriate, notify customers with active reservations by email. Your continued use of our services after a change becomes effective constitutes acceptance of the updated Terms. The most recent version is always available at this page.

14. Miscellaneous

Entire agreement. These Terms, together with any rental agreement signed at pickup and our Privacy Policy, constitute the entire agreement between you and NÜ Car Rentals regarding the subject matter herein.

Severability. If any provision of these Terms is held unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.

No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign these Terms or any rights under them without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, labor disputes, or telecommunications outages.
